These Terms and Conditions govern your use of the Kettova website and, where applicable, the engagement of legal services provided by Kettova. By accessing this website or engaging our services, you agree to these terms. If you do not agree, please do not use this website or engage our services.

Definitions
- "Kettova", "we", "us", "our" — refers to the legal practice operating under the name Kettova, based at 1 George Street, #16-02, Singapore 049145.
- "User", "you", "your" — refers to any person accessing this website or engaging Kettova's services.
- "Services" — refers to the legal services provided by Kettova, including Mergers & Acquisitions Advisory, Winding Up & Liquidation Support, and Affidavit Preparation.
- "Website" — refers to the website accessible at https://kettova.cyou.
- "Engagement Letter" — the written scope letter or agreement issued by Kettova at the commencement of a client matter, setting out the scope, fees, and terms of the engagement.
- "Agreement" — these Terms and Conditions together with any Engagement Letter applicable to your matter.
Section 02
Acceptance of Terms
Your use of this website constitutes acceptance of these Terms and Conditions. Engagement of our Services is further governed by the Engagement Letter issued for your specific matter, which supersedes these terms where there is a conflict.
Our Services are available only to individuals aged 18 or over, or entities with the legal capacity to enter binding agreements under Singapore law.
Section 03
Description of Services
Kettova provides the following legal services to clients in Singapore:
- Mergers & Acquisitions Advisory (SG-01): Counsel for corporate transactions involving Singapore entities, from term sheet to closing.
- Winding Up & Liquidation Support (SG-02): Guidance and documentation for the voluntary or court-ordered dissolution of Singapore-registered companies.
- Affidavit Preparation (SG-03): Drafting and swearing of affidavits for court, immigration, and statutory purposes.
Service availability is subject to Kettova's capacity and the absence of any conflict of interest. Kettova reserves the right to decline to act in any matter at its discretion.
Section 04
Client Responsibilities
In engaging Kettova's Services, you agree to:
- Provide accurate, complete, and timely information as reasonably requested to enable us to act on your instructions.
- Promptly review and respond to drafts, correspondence, and requests for instructions.
- Not provide false or misleading information in any affidavit, document, or instruction.
- Comply with applicable Singapore laws in connection with the subject matter of the engagement.
- Pay fees in accordance with the Engagement Letter and any invoices issued.

Acceptable Use of Website
You may use this website for lawful purposes only. You must not:
- Transmit unsolicited communications or spam via the contact form.
- Attempt to gain unauthorised access to any part of this website or its underlying systems.
- Use automated tools to scrape, index, or mirror the content of this website.
- Reproduce, distribute, or republish content from this website without our prior written consent.
- Use the website in a manner that may damage its reputation or that of Kettova.

Intellectual Property
All content on this website — including text, layout, design, and brand elements — is the intellectual property of Kettova or its licensors and is protected under applicable Singapore copyright law.
Documents prepared by Kettova in the course of an engagement remain the property of the client upon full payment of all fees. Any templates, methodologies, or working frameworks used by Kettova in the course of an engagement remain the property of Kettova.
You are granted a limited, non-exclusive, non-transferable licence to access and use this website for personal or business information purposes only.
Section 07
Payment Terms
Fees for each engagement are set out in the applicable Engagement Letter. Starting fees for each practice area are published on this website and are subject to confirmation at the time of engagement.
- All fees are stated in Singapore Dollars (SGD) and are exclusive of applicable taxes unless otherwise stated.
- Payment terms will be specified in each invoice. Standard payment terms are 14 days from invoice date unless agreed otherwise.
- Kettova may require payment of a deposit before commencing work on a matter.
- Any scope changes that affect fees will be agreed in writing before additional work is undertaken.
There is no general right of refund once work has commenced on a matter. Refund terms, if any, will be specified in the Engagement Letter for the relevant service.

Disclaimers
The content of this website is provided for general information purposes and does not constitute legal advice. No solicitor-client relationship is formed by your use of this website alone.
While Kettova takes care in preparing the content of this website, no representation is made that the information is current, complete, or accurate. Legal requirements change and the applicability of any information depends on the specific facts of each matter.
Kettova does not warrant that this website will be available without interruption, or that it is free from errors or harmful code. You use this website at your own risk.
Section 09
Limitation of Liability
To the extent permitted by Singapore law:
- Kettova's total liability to you in connection with any claim arising from an engagement is limited to the fees paid for the specific matter to which the claim relates.
- Kettova is not liable for indirect, consequential, or loss-of-profit damages arising from your use of this website or from the provision of Services, unless caused by gross negligence or wilful misconduct.
- Nothing in these terms excludes liability that cannot be excluded under applicable Singapore law, including liability for fraud or death and personal injury caused by negligence.
Section 10
Termination of Engagement
Either party may terminate an engagement by providing written notice. In the event of termination:
- Fees for work completed up to the date of termination remain payable.
- Kettova may terminate an engagement where continued representation would breach its professional obligations or applicable law.
- Upon termination, Kettova will provide reasonable assistance to facilitate an orderly transition, subject to full payment of outstanding fees.
Section 11
Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Republic of Singapore. Any dispute arising in connection with these terms or any engagement is subject to the exclusive jurisdiction of the Singapore courts.
Where a dispute arises, the parties agree to first attempt resolution through direct discussion. If resolution is not achieved within 30 days, either party may refer the matter to mediation at the Singapore Mediation Centre before commencing court proceedings.
Section 12
General Provisions
- Entire Agreement: These terms, together with any applicable Engagement Letter, constitute the entire agreement between the parties regarding the subject matter and supersede any prior understandings.
- Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure by Kettova to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment: You may not assign your rights or obligations under any engagement without Kettova's prior written consent.
- Updates: Kettova may update these Terms from time to time. The current version will be published on this page with a revised effective date. Continued use of this website after an update constitutes acceptance of the revised terms.
